Who this agreement is between
This agreement is between Vikalp Omni Private Limited (incorporation in progress), which operates Vikalp One (“we”), and the business that signs up (“you”).
The person who accepts these terms at sign-up confirms two things: they are 18 or older, and they have the right to agree to them for the business. If either isn’t true, don’t sign up.
Our Privacy policy is part of this agreement. It explains how we handle personal data, and you can read it at https://www.vikalpone.com/privacy.
What Vikalp One provides
Vikalp One is a commerce platform for businesses in India, built and run by us. You set up and run your business in the business dashboard at one.vikalpomni.com.
Vikalp One is in early access. Today a business can sign up only with a sign-up link from our team. You can set up your company (its legal name, and its GSTIN, which we check for mistakes), your brand (with its store address and invoice prefix) and your locations.
Selling is being built: the catalogue, orders, GST invoices, stock and books. We will add, change and sometimes remove features as we build. We will email you about changes that affect how you work.
We don’t promise a level of uptime yet. We work to keep Vikalp One running and we back up its data, but it may sometimes be slow or unavailable.
Your store and its address
Each brand gets a permanent web address on vikalpone.com, made at random for it, such as ag681ph947.vikalpone.com. You can’t choose or change it.
When stores open, a store stays behind a password until its set-up is done and its plan is paid. Until then, only your own team can see it.
What a store says and sells is its business’s, not ours, even though its address is on vikalpone.com.
Your account and signing in
Each person signs in with their own account: an email address, a password, and an authenticator app on their phone that shows 6-digit codes. Every business account must use the app. Each account also gets 10 one-time backup codes, and can add passkeys (Face ID, a fingerprint or the phone’s screen lock).
Before a sensitive change, such as a new password, mobile number, passkey or authenticator app, we ask you to confirm it’s you with a passkey or your app’s code.
If you lose your phone and your backup codes, ask for help at https://one.vikalpomni.com/recover. Our team phones the mobile number on your account, and decides no sooner than 24 hours after your request.
- Keep your password, your phone and your backup codes safe. Don’t share your sign-in with anyone.
- Your business is responsible for everything done through its accounts.
- If you think someone else has used your account, tell us at once at support@vikalpomni.com.
- We only ever ask for your password at one.vikalpomni.com: never in an email, a message or a phone call. A page that asks for it anywhere else is not ours.
What your business is responsible for
Vikalp One gives you the tools to run your business. You are the seller of your goods and services. We are not, and we are not a party to your sales.
Your business is responsible for:
- The accounts of the people who work for you, and everything done through them.
- What your store says and sells, including the words and pictures you add.
- Your prices and offers.
- Your taxes, including your GST registration and returns.
- Your dealings with your customers, including deliveries, returns, refunds and complaints.
- Any licence or permit your business or your goods need.
- The details you give us, such as your company’s legal name and GSTIN, being true and up to date.
Acceptable use
Vikalp One must be used lawfully and fairly. If you break these rules, we may remove the content, pause your business or end this agreement.
Don’t use Vikalp One, or let anyone else use it, to do any of these:
- Sell or offer goods or services that are against the law in India.
- Sell counterfeit goods, or anything that breaks someone else’s trademark, copyright, design or patent.
- Make false or misleading claims about your goods, prices, offers or business.
- Pretend to be someone else, such as a bank, a government body, another brand or another person.
- Publish anything obscene, sexually explicit or harmful to children, or anything that harasses or spreads hatred against anyone.
- Publish anything that threatens India’s unity, security or public order, or that encourages a crime.
- Send spam: messages people didn’t ask for.
- Upload or spread malware or any other harmful code.
- Attack or overload Vikalp One or any business on it, or try to get around its security.
- Copy data from Vikalp One by automated means (scraping), other than through tools we provide for it.
- Resell, rent out or give others access to Vikalp One as a service, unless we have agreed to it in writing.
- Break any other law that applies to you or your business.
Your content
Your content is everything your business adds to Vikalp One: names, addresses, products, pictures, prices, words and records. It stays yours.
You allow us to store, copy, process and show your content only as far as we need to run Vikalp One for you: for example, to show your store to its visitors once stores open. This permission ends when your content is removed, except for copies the law makes us keep.
You confirm that you have the right to use everything you add, and that it doesn’t break anyone’s rights or the law.
We keep your business’s records apart from every other business’s. We don’t sell them, and we don’t use them for advertising.
Your customers’ personal data
This applies once stores sell. Your customers’ personal data, such as their names, phone numbers, email addresses, delivery addresses and orders, belongs to your business.
Your business decides why and how that data is used: in the words of India’s Digital Personal Data Protection Act 2023, you are its Data Fiduciary. We process it on your behalf, only to run Vikalp One for you, and never for our own purposes.
You are responsible for telling your customers how you use their data, and for getting their consent where it is needed.
Card details will never touch our servers: payment networks handle them. If a security breach affects your customers’ data, we will tell you without delay, so you can tell them.
Our name, logo and code
Vikalp One, its code, its designs and themes, the Vikalp One name and its logo belong to Vikalp Omni Private Limited (incorporation in progress). These terms let you use Vikalp One to run your business. They give you no other rights to any of these.
Don’t copy, change or try to work out Vikalp One’s code. Don’t use our name or logo in a way that suggests we back your business, unless we agree in writing.
If you send us ideas or suggestions, we may use them freely, without owing you anything.
Fees and the free trial
Vikalp One charges nothing during early access.
Plans and billing are not set up yet. When they are, this is how they will work:
- Each new business gets a 14-day free trial.
- You pick a plan when you sign up.
- Each month is paid in advance.
- We announce the prices before we charge anything, and we ask you to accept them first. Nothing is charged without your acceptance.
- How a plan is cancelled, and whether any part of a month is refunded, will be set out with the prices.
- Once billing exists, a business whose plan isn’t paid can be paused.
Pausing a business
Our team can pause a business. We always give the reason, and we email it to the business’s owners.
While a business is paused, nothing reaches its customers: its store is hidden, and its payments and messages stop once those exist. Its people can still sign in, see the reason and work in the dashboard. To answer a pause, write to support@vikalpomni.com.
Where we can, we tell you before we act and give you a chance to put things right. When customers, other businesses or Vikalp One are at risk, or the law requires it, we may act first and tell you straight after.
We may pause a business, or end this agreement, for any of these reasons:
- Breaking these terms.
- Selling or offering unlawful goods or services.
- Fraud.
- Pretending to be a bank, the government or another brand.
- Not paying for its plan, once billing exists.
- A lawful order from a court or a government authority.
Ending this agreement
You can end your account at any time: write to support@vikalpomni.com from the email address of one of your business’s owners. We may ask you to confirm it’s you.
We may end this agreement for the reasons under “Pausing a business”. We give notice first where we can.
After the agreement ends, these parts still apply: what you owe us, the limits on our liability, claims caused by your business, and Indian law and courts.
When an account ends, this is what happens to your business’s records:
- For 30 days, you can ask us for a copy of them, where we can make one.
- Records the law makes us keep, such as tax and accounting records, are kept for as long as it requires: at least 8 years for those.
- Everything else is removed or made anonymous within 90 days of the end.
Vikalp One is provided as it is
During early access, Vikalp One is provided as it is and as available. We don’t promise that it will be free of errors, always available, or right for every purpose.
Check what matters to your business, such as your tax figures, before you rely on it. Nothing on Vikalp One is legal, tax or financial advice.
Limits on our liability
We are not responsible for indirect losses, such as lost profits, lost sales or harm to your reputation.
Our total liability to you, for all claims under this agreement, is limited to the fees you paid us in the 12 months before the claim. While no fees are charged, it is limited to ₹10,000.
These limits don’t apply where the law doesn’t allow them.
Claims caused by your business
If someone makes a claim against us because of your business, you will cover our losses and reasonable costs, including legal fees. We will tell you about such a claim promptly.
This applies to claims about:
- Your goods or services.
- Your content.
- Your dealings with your customers.
- Your breach of these terms or of the law.
Changes to these terms
We may change these terms. Each version shows its date at the top of this page.
For a change that matters, we email your business’s owners before it takes effect, and ask you to accept the new version where needed. If you don’t accept it, you can end your account.
We record which version of these terms each account accepted, when, and from which internet address.
Indian law and courts
These terms are governed by the laws of India.
Only the courts at Bengaluru can settle a dispute about these terms. Before going to court, write to us at support@vikalpomni.com, so we can try to settle it together.
If a court finds that part of these terms can’t be enforced, the rest still applies. If we don’t use a right under these terms straight away, we haven’t given it up.
Complaints and contact
Write to support@vikalpomni.com with any question about these terms, your account or a pause.
Our grievance officer is Akshay Jain, and you can reach them at support@vikalpomni.com. We acknowledge a complaint within 24 hours and resolve it within 15 days.
The same officer handles complaints about what a store on Vikalp One says or sells. Each store page will have a “Report this store” link that leads to them.
We send notices about this agreement to the email addresses of your business’s owners.
